Welcome to ApexionLabs. By accessing our website or engaging our services, you agree to be bound by these Terms of Service. Please read them carefully. If you do not agree with any part of these terms, you must not use our services.

1. Services & Scope

ApexionLabs provides digital marketing, custom web development, search engine optimization (SEO), and paid advertising management.

The specific scope, deliverables, timelines, and costs for any project will be explicitly defined in a separate, written Statement of Work (SOW) or formal proposal. These Terms of Service apply to all SOWs unless explicitly overridden in the individual agreement.

2. Client Responsibilities

Successful digital infrastructure requires a partnership. To deliver our services effectively, you agree to:

  • Provide timely access to necessary platforms (e.g., CMS, hosting, Google Analytics, Meta Ads Manager).
  • Deliver necessary branding assets, copy, or media in a timely manner.
  • Provide prompt feedback and approvals on milestones to prevent project delays.

3. Payments, Refunds & Intellectual Property

Billing: Invoices are payable upon receipt unless otherwise specified in your SOW. ApexionLabs reserves the right to pause campaigns or withhold deliverables if accounts fall into arrears.

Refund Policy: Due to the highly custom nature of our digital engineering and marketing services, all sales are final. ApexionLabs does not issue refunds for deposits, completed project milestones, or active management retainers.

Ownership of Deliverables: Upon receipt of full payment, you are granted full ownership rights to the final, outward-facing deliverables (e.g., the finished website layout, ad creatives, compiled copy).

4. Hosting & Post-Launch Support

Managed Hosting: Custom websites built by ApexionLabs are deployed on premium managed hosting infrastructure (Vercel). We provide the first year of managed hosting entirely free of charge. Following the first year, managed hosting is billed at $20 per month.

Post-Launch Revisions: Upon the final delivery and launch of your website, we provide a two-month (60-day) complimentary support window. During this time, you may request basic, reasonable modifications, such as updating text, swapping images, or adjusting colors, at no extra cost. Requests for major structural changes or new feature developments fall outside this window and will be quoted separately.

5. Limitation of Liability

Digital ecosystems are controlled by third parties. Therefore, ApexionLabs cannot guarantee specific search engine rankings, specific ad return-on-ad-spend (ROAS), or immunity from third-party platform changes.

ApexionLabs shall not be held liable for losses, damages, or account suspensions resulting from changes to Google algorithms, Meta advertising policies, or any other third-party platform updates outside of our direct control. In no event shall our liability exceed the total amount paid by you for the specific service in question over the previous three (3) months.

6. Governing Law

These Terms of Service, and any disputes arising from them, shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
